Dull plot, dull pace, Ethan Hawke single handedly acting his ass off amongst an unmemorable cast, cliched ghost kids and a poorly designed villain.

I love the numbers station effect; it's freaking amazing how simple effing numbers - read in a child's voice to boot! - always confer such an eerie, creepy atmosphere. Real and simulated numbers station clips are turning up more and more frequently in soundtracks because it's like, instant horror movie atmosphere, just add numbers. :D
