Can someone explain


Did Mayfield know that the audit was *beep* or did he tell that guy to say it wasn't any good cause he knew about the 400 million dollar hole? But wanted to buy it anyway?

The reason Mayfield got the initial audit held up was as a negotiating tactic. The audit was clean (fraudulently though), but Mayfield wanted Miller to think the audit had found something so that Mayfield could get a better deal. Miller figured this out and confronted Mayfield about it in the restaurant. He still gave Mayfield a better deal because there actually was something wrong with the company and he was so desperate to make the sale go through. Ironic, right? Mayfield didn't know there were real financial problems with the company until he was told about the second audit at the very end of the movie.
